Membership and Auto-Renewable Subscription Service Agreement

This Membership and Auto-Renewable Subscription Service Agreement (“Agreement”) is entered into between ming ming (“Developer”, “we”, “us”, or “our”) and you (“User” or “Subscriber”).

This Agreement supplements the End User License Agreement (EULA), Terms of Service, and Privacy Policy, which govern your use of the ming ming mobile application and related services (the “App” or “Platform”).

By purchasing, redeeming, activating, or using any membership subscription services within the App, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

If you do not agree to any part of this Agreement, you must not subscribe to or use the membership services.

Subscription Disclosure

By subscribing to the membership service, you agree to the following billing and renewal terms:

- The subscription automatically renews each month unless cancelled.

- Payment will be charged to your Apple App Store or Google Play account at confirmation of purchase.

- Your subscription will automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.

- Your account will be charged for renewal within 24 hours prior to the end of the current subscription period.

- You may manage or cancel your subscription at any time through your App Store or Google Play account settings.

- If you cancel your subscription, membership benefits remain active until the end of the current billing cycle.

Subscriptions may be cancelled at any time through your App Store or Google Play account settings.

Deleting the App does not cancel your subscription.

1. Eligibility

1.1 Age Requirement

Membership subscription services are available only to individuals who are at least eighteen (18) years of age.

1.2 User Representation

By subscribing, you represent and warrant that you meet this age requirement.

1.3 Optional Service

Membership services are optional value-added services. Users who do not subscribe may continue to access the App’s basic features.

2. Subscription Model and Billing

2.1 Subscription Type

Membership is offered as a monthly auto-renewable subscription.

The subscription price will be clearly displayed within the application marketplace before purchase and may vary depending on:

- geographic region

- currency

- applicable taxes

2.2 Payment Processing

All subscription payments are processed exclusively through the official in-app purchase systems provided by the platform where the App was downloaded, including but not limited to:

- Apple App Store (iOS devices)

- Google Play Store (Android devices)

The Developer does not process, collect, or store payment information directly.

2.3 Automatic Renewal

Unless cancelled, subscriptions automatically renew at the end of each billing cycle.

- Your account will be charged within 24 hours prior to the end of the current billing period.

- By subscribing, you authorize the applicable platform provider to charge your account on a recurring monthly basis until cancelled.

2.4 Subscription Management and Cancellation

Subscriptions may be managed or cancelled at any time through your platform account settings.

For iOS users

Settings → Apple ID → Subscriptions → Select the App → Cancel Subscription

For Android users

Google Play → Profile → Payments & Subscriptions → Subscriptions → Select the App → Cancel

Cancellation will take effect at the end of the current billing cycle.

No partial refunds will be issued for unused portions of the subscription period unless required by applicable law.

3. Membership Benefits

During an active subscription period, members may receive access to enhanced features within the App.

Membership features may include:

3.1 Increased Daily Chat Initiations

Members may initiate conversations with a higher daily limit compared to non-members.

3.2 “Likes Me” Feature

Members may view users who have expressed interest in their profile.

3.3 Followers List

Members may view users who have followed their profile.

3.4 Advanced Search Filters

Members may access enhanced filtering tools such as age range filters and interest tags.

3.5 Priority Access to Offline Events

Members may receive priority access to certain offline events organized or facilitated through the Platform, subject to availability.

Membership benefits do not guarantee access to any specific offline event, as events may be subject to:

- capacity limits

- geographic restrictions

- eligibility or safety screening

- scheduling changes or cancellation

For clarity:

- Non-members may continue using the App’s basic communication features.

- Membership does not guarantee matches, responses, engagement, or relationship outcomes.

- Certain features may change or evolve as the Platform develops.

4. Points Redemption Mechanism

The App may include a points or rewards system.

4.1 Earning Points

Users may earn points by completing designated in-App activities.

4.2 Redeeming Points

Points may be redeemed for limited membership access periods or other features, subject to availability and platform policies.

4.3 Points Limitations

Points:

- have no cash value

- are non-transferable

- are non-refundable

- cannot be exchanged for money

4.4 Non-Purchase Clarification

Points redemption does not constitute a monetary purchase and does not automatically convert into a paid subscription.

4.5 Program Changes

The Developer reserves the right to modify, suspend, or discontinue the points system at any time in accordance with applicable laws and platform policies.

5. Pricing Changes

The Developer reserves the right to modify subscription pricing where permitted by platform rules and applicable law.

Any price change will take effect in a subsequent billing cycle and will be communicated through the relevant application marketplace.

Users may cancel their subscription before the new price becomes effective.

6. Refund Requests

All purchases are final except where required by applicable law.

Refund requests must be submitted directly through the platform where the purchase was made:

- Apple App Store for iOS users

- Google Play Store for Android users

Refund decisions are made by the platform provider in accordance with their policies.

7. Platform Billing and Refund Control

Subscription billing, payment processing, and refund decisions are handled exclusively by the applicable platform provider (Apple App Store or Google Play).

The Developer does not have access to users’ payment information and cannot directly issue refunds for in-app purchases.

8. Suspension or Termination

The Developer may suspend or terminate membership access if a User violates:

- the EULA

- the Terms of Service

- Community Guidelines

- applicable laws

Termination due to user misconduct does not entitle the User to a refund of subscription fees.

9. Disclaimer of Warranties

Membership services are provided on an “as is” and “as available” basis.

The Developer does not guarantee that:

- membership features will be uninterrupted or error-free

- the App will always be available without interruptions

- use of the App will result in any specific social, romantic, or personal outcome

- participation in events will lead to any particular benefit or result

10. Limitation of Liability

To the maximum extent permitted by law, the Developer shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the App or membership services.

Additional limitations of liability are described in the End User License Agreement (EULA).

11. Free Trial Disclosure

If a free trial period is offered in the future, any unused portion of the trial will be forfeited when the User purchases a subscription.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada.

Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.

13. Amendments

The Developer reserves the right to modify this Agreement at any time.

Updated versions will be posted within the App or on the Developer’s official website.

Continued use of membership services following such updates constitutes acceptance of the revised Agreement.
